Terms of Service

Rubicon Growth Co., LLC · Effective September 30, 2026 · Last updated September 30, 2026

These terms explain what you can expect from Rubicon and what we expect from you when you use our website and platform. We have tried to keep them plain.

1. Agreement to these terms

These Terms of Service ("Terms") are an agreement between you and Rubicon Growth Co., LLC ("Rubicon," "we," "us" or "our"). They govern your use of rubiconos.com, the Rubicon platform, our reports and any related services (together, the "Services").

By creating an account, submitting an application or otherwise using the Services, you agree to these Terms. If you use the Services on behalf of a company or firm, you confirm that you have authority to bind it, and "you" includes that organization. If you do not agree, do not use the Services.

If you and Rubicon have signed a separate order form or services agreement, that agreement controls where it conflicts with these Terms.

2. What Rubicon provides

Rubicon is a deal intelligence platform. We gather information from public records, licensed data sources and information you provide, organize it around a company, and deliver screens, research, readiness reports, monitoring alerts and working sessions. Every finding we can source is linked to the record it came from.

We may add, change or retire features over time. If we make a change that materially reduces a paid Service during a subscription term, we will tell you in advance.

3. Information, not advice

The Services are provided for information and research purposes. Rubicon does not provide legal, tax, accounting, investment or financial advice, and nothing in the Services is a recommendation to buy, sell, fund or pass on any company, security or transaction.

Our work is designed to support, not replace, your own judgment and professional diligence. You are responsible for your decisions and for confirming anything material with qualified advisors before you rely on it.

4. Accounts

You must be at least 18 years old and able to form a binding contract to use the Services. When you create an account, give us accurate information and keep it current.

You are responsible for keeping your login credentials secure and for activity under your account. If you sign in with Google, Microsoft, LinkedIn, Apple or your company's single sign-on, that provider's terms also apply to how you sign in. Tell us promptly at hello@rubiconos.com if you believe your account has been accessed without permission.

5. Acceptable use

You agree not to:

  • use the Services for any unlawful purpose, including in violation of the Fair Credit Reporting Act or similar laws. The Services are not a consumer reporting agency and may not be used to decide a person's eligibility for credit, insurance, employment, housing or any similar purpose;
  • use the Services to harass, stalk or harm any person;
  • submit information you do not have the right to share, or that you know is false;
  • copy, resell, redistribute or build a competing product from the Services or our reports, except as these Terms allow;
  • scrape, reverse engineer or interfere with the Services, or try to get around security or usage limits; or
  • share your account with people outside your organization.

We may suspend or restrict access if we reasonably believe these rules have been broken.

6. Information you provide

You keep ownership of the information, documents and materials you submit to Rubicon ("Your Content"). You give us a limited license to host, process, analyze and display Your Content to provide and support the Services for you.

You confirm that you have the rights and any consents needed to share Your Content with us, including information about other people named in it.

We may use de-identified and aggregated information, which does not identify you, your company or any individual, to operate, secure and improve the Services.

7. Rubicon's intellectual property

The Services, including our software, methods, scoring, design, text, graphics and the Rubicon name and logo, belong to Rubicon or our licensors and are protected by intellectual property laws.

Subject to these Terms and any fees owed, we give you a limited, non-exclusive, non-transferable right to use the Services and to use reports delivered to you for your internal business purposes. You may share a report with your advisors, co-investors, board or counsel in connection with the company it covers, as long as you keep Rubicon's source citations and do not present the work as your own product. Any other use requires our written permission.

If you send us feedback or ideas, we may use them without obligation to you.

8. Third-party data and sources

Much of what we report comes from public records and third-party data providers. Those sources can be incomplete, out of date or wrong, and records can be misattributed despite our entity-resolution work. We cite our sources so you can check them, but we do not guarantee the accuracy or completeness of third-party information.

Links to third-party websites are provided for convenience. We are not responsible for their content or practices.

9. Fees and payment

Some Services are paid. Prices, billing terms and what is included will be shown at checkout or in your order form. Unless stated otherwise, fees are due in advance, are non-refundable once work on a report has started, and do not include taxes, which you are responsible for.

If you pay by card, you authorize us and our payment processor to charge the amount shown. For subscriptions, fees renew automatically at the end of each term unless you cancel before the renewal date.

10. Confidentiality

We treat non-public information you share with us, and the targets you screen, as confidential. We use it only to provide the Services and share it only with our staff and service providers who need it and are bound to protect it, or as required by law. Our Privacy Policy explains how we handle personal information.

You agree to keep non-public information about the Services, including pricing and product details not publicly available, confidential.

11. Disclaimers

The Services are provided "as is" and "as available." To the fullest extent permitted by law, Rubicon disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement and accuracy. We do not warrant that the Services will be uninterrupted or error-free, or that any report will identify every risk or opportunity relating to a company or transaction.

12. Limitation of liability

To the fullest extent permitted by law, Rubicon will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data, investment returns or business opportunities, arising from or related to the Services or these Terms, even if we were advised of the possibility.

Rubicon's total liability for all claims arising from or related to the Services or these Terms will not exceed the greater of the amounts you paid Rubicon in the twelve months before the claim arose or one hundred U.S. dollars ($100).

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

13. Indemnification

You agree to defend and indemnify Rubicon and its members, officers, employees and agents against claims, losses and expenses (including reasonable attorneys' fees) arising from Your Content, your misuse of the Services or your violation of these Terms or the law.

14. Suspension and termination

You may stop using the Services and close your account at any time by contacting us. We may suspend or end your access if you breach these Terms, fail to pay fees when due, or if we are required to by law. Sections that by their nature should survive, including those on intellectual property, confidentiality, disclaimers, limitation of liability, indemnification and governing law, survive termination.

15. Governing law and disputes

These Terms are governed by the laws of the State of South Carolina, without regard to its conflict-of-law rules. Any dispute arising from these Terms or the Services will be brought exclusively in the state or federal courts located in Charleston County, South Carolina, and you and Rubicon consent to their jurisdiction.

Before filing a claim, each party agrees to try in good faith to resolve the dispute informally by contacting the other in writing and allowing thirty days to respond.

16. Changes to these terms

We may update these Terms from time to time. If we make material changes, we will post the new Terms here with a new effective date and, where appropriate, notify you by email or in the Services. Continuing to use the Services after the changes take effect means you accept them.

17. General

These Terms, together with any order form and our Privacy Policy, are the entire agreement between you and Rubicon about the Services. If any part is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control.
